Terms of service
Effective 1 November 2026.
These terms are between you and Xcobean Systems (Kenya) Limited ("Xcobean", "we", "us"), of Nairobi, Kenya. Part A applies to everyone who uses this website. Part B summarises the terms that apply to facilities that subscribe to JiraniCore; the signed order form or quotation and any data processing agreement are the binding contract and prevail over this summary if they differ.
Part A. Website terms
1. Using this website
The website gives information about JiraniCore, a software service for clinics, pharmacies and hospitals, and lets you ask for a demo. By using it you agree to these terms. If you do not agree, please do not use the site.
2. Acceptable use of the website
You agree not to misuse the site: no attempts to break, probe or overload it or to gain unauthorised access; no automated scraping that burdens it; no malicious code; no false or misleading demo requests; and no submission of patient information through the website forms.
3. Information on the site
We take care to keep the site accurate, but descriptions of features and modules are for general information and may change. Pricing and availability are confirmed only in a written quotation or order form. Content on the site is not medical, legal or financial advice.
4. Intellectual property
The site, the JiraniCore name and logo, the software and the content are owned by Xcobean or its licensors. You may view and share pages for ordinary, non-commercial purposes but may not copy or reuse them otherwise without our written permission.
5. Links
The site may link to other websites. We do not control them and are not responsible for their content or practices.
6. Privacy
How we handle personal data is described in our privacy notice.
Part B. Subscription terms (summary for facilities)
7. Accounts
A facility subscribes through an order form or accepted quotation. The facility chooses its authorised users, is responsible for the accuracy of the information it provides, must keep credentials confidential, and is responsible for activity under its accounts. Please tell us promptly if you suspect unauthorised access.
8. Acceptable use
The facility and its users must use JiraniCore lawfully and only for the facility's healthcare and business operations. They must not: share logins; try to bypass security or access other customers' data; upload unlawful or malicious content; reverse engineer or resell the service except as agreed in writing; or use it in a way that harms the service or other customers. The facility must have a lawful basis, and give patients the notices required by law, for the data it records.
9. Customer data
The facility owns, and remains responsible as data controller for, the data it puts into JiraniCore ("customer data"). Xcobean acts as data processor, processes customer data only to provide and support the service and on the facility's documented instructions, and does so under a data processing agreement and our privacy notice. The facility gives us the limited rights we need to host, process and back up customer data to provide the service.
10. Confidentiality
Each party will keep the other's non-public information confidential, use it only for the purposes of the agreement, and disclose it only to people who need it and are bound to confidentiality, or where the law requires. Customer data, including patient records, is confidential information of the facility.
11. Fees and payment
Fees, billing periods and payment terms are set out in the order form or quotation. Unless it says otherwise, amounts are in Kenya shillings, exclude applicable taxes such as VAT, and are payable by the due date on the invoice. We may charge for work outside the agreed scope after agreeing it with you. Late payment may lead to suspension under clause 13.
12. Availability and support
We work to keep JiraniCore available and to fix faults promptly, and we provide support during the hours described in the order form. We do not promise uninterrupted or error-free service, and we do not offer a numeric uptime guarantee under these terms unless the order form states one. We may carry out planned maintenance and will try to give notice where it is likely to affect you.
13. Suspension
We may suspend access, as narrowly and briefly as reasonably possible, if fees remain unpaid after notice, if use threatens the security or integrity of the service or other customers, or if the law requires. Where practical we will tell you first and restore access once the cause is resolved.
14. Term, termination and data export
The subscription runs for the term in the order form and renews as it states. Either party may end the agreement for the other's material breach that is not remedied within 30 days of written notice. The facility may export its customer data while its subscription is active. After termination or expiry we will make the customer data available for export in a standard format for a reasonable period (we will state this period in the order form, and it is at least 30 days), and then delete it, apart from copies we must keep by law and backups, which are removed on their normal cycle. Clauses that by their nature should continue (including confidentiality, liability and governing law) survive termination.
15. Warranties and disclaimer
We will provide the service with reasonable skill and care. Except as stated in this clause, and to the extent the law allows, the website and the service are provided "as is" and we give no other warranties, express or implied, including fitness for a particular purpose. JiraniCore is a record-keeping and workflow tool. It does not replace professional clinical judgement, and the facility remains responsible for clinical decisions, for checking the output of any decision-support features, and for compliance with the rules that apply to its professionals and premises.
16. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Xcobean's total liability arising from the agreement in any 12-month period is limited to the fees paid or payable for that period. Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
17. Indemnity
The facility will indemnify Xcobean against third-party claims, and related reasonable costs, arising from the facility's breach of clause 8 or from the facility's use of customer data without a lawful basis. Xcobean will indemnify the facility against third-party claims that the service, used as permitted, infringes that third party's intellectual property rights, provided the indemnified party promptly notifies the other, allows it to control the defence and cooperates reasonably.
Part C. General
18. Changes
We may update these terms and the site. The effective date above shows the latest version. For customers, a change that materially reduces your rights will apply from your next renewal or after 30 days' written notice, whichever is later. Continued use of the website after an update means you accept it.
19. Governing law and disputes
These terms are governed by the laws of Kenya. The parties will first try in good faith to resolve any dispute by negotiation between senior representatives for at least 30 days. If that does not resolve it, the courts of Nairobi, Kenya have jurisdiction.
20. General terms
If part of these terms is found unenforceable, the rest continues. A failure to enforce a right is not a waiver of it. Neither party may assign the agreement without the other's consent, except to a successor to its business. Neither party is liable for delay caused by events beyond its reasonable control. For customers, the order form, data processing agreement and these terms together are the whole agreement on their subject.
